Software License Agreement

This document provides the AIstone Global Product License Agreement, Third-Party Software License Agreement, Privacy Policy, and Limited Warranty for hardware products. The AIstone Global Product License Agreement and the Third Party Software License Agreement together apply to software preinstalled on standard model computers. In some cases, such as custom models containing customer-supplied images or software, certain Third-Party software licenses may not apply to you.

AIstone Global products may automatically download and install critical updates upon detecting the first Internet connection without notifying users. Updates that are necessary for your computer to function properly are classified as critical updates. Failure to install critical updates may result in data corruption or loss, severe system failure, or hardware failure. For example, critical updates may include hard drive firmware updates, BIOS upgrades, patches for device drivers, and patches for operating systems or other preinstalled software.

To detect if a critical update is available, AIstone Global collects machine type, OS type, and OS language information. Other types of information are not collected for this purpose.

Please note that software pre-installed or otherwise installed on AIstone Global hardware may introduce services and/or content provided by third parties outside AIstone Global (hereinafter referred to as "Third Party Services/Content"). Third-party services/content are provided on terms and conditions that may be agreed between you and the provider. Third-party services/content are outside the control of the AIstone Global Products and do not reflect any position of the AIstone Global Products. AIstone Global Products does not endorse, agree to, or make any representations, warranties, or commitments with respect to third party services/content. If you have any claims or damages for third party services/content, AIstone Global shall not be liable.

License Agreement

This License Agreement ("Agreement") is signed by AIstone Global on behalf of itself and its affiliates (collectively,"AIstone Global") and applies to each AIstone Global Software Product you acquire, whether pre-installed or included with a AIstone Global Hardware Product, purchased separately, or downloaded by you from a AIstone Global website, a AIstone Global approved Third-Party website, or an app store. This Agreement also applies to any updates or patches to such Software Products. This Agreement does not apply to Non-AIstone Global Software pre-installed on or downloaded to Your Product, nor does it apply to any Software as a Service or Software Product Family with its own license terms.

 

Section 1:  Acceptance of This Agreement

1        AIstone Global grants you a license to use the Software Product only if you accept this Agreement. By clicking Accept this Agreement or installing, downloading or using the Software Product, you agree to the terms of this Agreement.

2        If you do not agree to these Terms, do not install, download or use the Software Products. (a) If you have acquired the Software Product and paid a license fee, return the Software Product to purchase for a refund or credit equal to the amount paid. (b)If you have acquired a Software Product pre-installed on or attached to a AIstone Global Hardware Product, you may continue to use that Hardware Product, but you may not use the Software Product covered by this Agreement.

Section 2:  Definition

1        "Related party" means any entity that directly or indirectly controls, is controlled by or is under common control with a party.

2        Source Initiative (OSI), whose definitions of principles are available at https://opensource.org/osd; and conform to the Free Software Foundation standards described at https://www.gnu.org/philosophy/free-sw.html.

3        "Open Source Software" means any computer program, including any modifications, improvements, derivative works, distributions, corrections, subject to the terms and conditions of the Open Source License.

4        You and the AIstone Global are collectively referred to as "both sides," and each individually as "one side."

5        "Software Product" means licensed material relating to AIstone Global computer software programs (whether pre-installed or separately provided) and documentation.

Section 3: Rights

You must properly maintain dated original sales transaction documents, such as receipts, invoices or similar documents, as evidence of your right to use the Software Product. The transaction file indicates the usage level you have received. If no usage level is specified, you may install and use one copy of the Software Product on one Hardware Product. Your transaction file can also be used to prove your eligibility for future upgrades, if any. For software products that are preinstalled on, shipped with, or distributed free of charge for use on AIstone Global hardware products, your hardware product sales transaction file may also serve as proof of your right to use the software products.

Section 4:  License

1        Software products are owned by AIstone Global or its suppliers, are copyrighted and are licensed only, not sold. AIstone Global grants you a non-exclusive license to use the Software Product when you legally acquire it.

2        You may (1) use the Software Product within the levels of use specified in your Transaction File, and (2) make and install copies (including backup copies) thereof to support such use. The terms of this Agreement apply to each copy you make. You may not delete or alter any copyright notice or proprietary mark.

3        If you acquired the Software Product through a Software Upgrade, you may not use or transfer the older Software Product prior to the Upgrade to another party after installing the Upgrade.

4        You must ensure that all persons using the Software Products (whether locally or remotely accessed) use the Software Products only for the purposes for which you are authorized and comply with the terms of this Agreement.

5        You may not (1) use, copy, modify or distribute the Software Product except as otherwise provided in this Agreement and in any way violate any applicable law, including but not limited to copyright law;(2) disassemble, decompile or otherwise transform the Software Product except as specifically permitted by law and not excluded by agreement; or (3) sublicense, rent or lease the Software Product.

6        AIstone Global may terminate your license if you fail to comply with the terms of this Agreement. If the AIstone Global terminates your license, you must destroy all copies of the Software Product.

7        AIstone Global uses update programs to update software products on computers. Important updates are automatically downloaded and installed if supported by the operating system. Updates are classified as critical if they are required for the computer to function properly. Failure to install critical updates may result in data corruption or loss, major system failure, or hardware failure. For example, critical updates may include updates to hard drive firmware, BIOS upgrades, device driver fixes, or fixes to the operating system or other pre-installed software. If this automatic update feature is available, you can disable it at any time by changing the settings of the System Update program.

Section 5:  Account

1        You may need to create your own account ("Account") to use the Software Product or certain features or functions thereof. When creating an account, you may be allowed to use a AIstone Global generic account (such as a AIstone Global ID) or Third-Party account information. If so, other provisions of the AIstone Global or third parties may apply. Refer to the instructions provided with the software product.

2        Upon creation of an Account and at any subsequent time required by AIstone Global, you agree to provide AIstone Global with true, accurate, current and complete information necessary to administer the Account, such as your name, email address, telephone number, etc.(collectively, "Registration Data"). You should always maintain and update registration data. If your registration data is false, inaccurate, not current or incomplete, your access to the Software Product or some of its features may be restricted or denied.

3        You are solely responsible for maintaining the confidentiality of your account information and password. At all times, you are fully responsible for any activity on or through your account, even if such activity may not have been authorized by you.

4        You shall immediately notify AIstone Global of any unauthorized use of your account or any other security violation. We are not responsible for any unauthorized use of your account.

5        When you create an account, you become the account owner. Subsequent changes in ownership must be supported by appropriate legal documentation. The AIstone Global will not adjudicate any disputes over ownership. If MCR is unable to determine the valid owner of the Account, MCR may suspend or terminate the Account at its sole discretion.

Section 6:  Transferability

1        You may not transfer or assign the Software Product to any other party except as permitted by the provisions of Section 6 (this section), Transferability.

2        Preinstalled Software Products are licensed for use only on the AIstone Global Hardware Products with which they are preinstalled or with which they accompany, and may only be transferred together with such AIstone Global Hardware Products. Preinstalled software products cannot be transferred separately from AIstone Global hardware products.

Section 7:  Open Source and Other Third-Party Products

1        Some of the Software Products provided under this Agreement, as well as future updates and patches, may include Open Source Software licensed under certain Open Source Licenses. To the extent that the terms of this Agreement conflict with the terms of such open source license, the terms of such open source license shall prevail over such applicable open source software.

2        To the extent that all or any portion of the Software Products provided under this Agreement is not provided "as is," no author or contributor of AIstone Global or Open Source Software provides any express or implied damages, representations or warranties of any kind, including, but not limited to, any damages, representations or warranties of title, non-infringement, merchantability or fitness for a particular purpose. No author or contributor of AIstone Global or Open Source Software shall be liable for any damages caused by Open Source Software, including direct, indirect, special, incidental and consequential damages, such as lost profits.

3        You acknowledge and agree that you are responsible for complying with the terms and conditions of any open source license applicable to any software product you use or redistribute. AIstone Global will reasonably assist you with your compliance obligations, but you are ultimately responsible for complying with all applicable Open Source License Terms.

4        AIstone Global Software Products, their features, features, or future updates and patches may contain software components, applications, websites, or other products or services provided by third parties (collectively, "Third Party Products"), and may collaborate with, depend upon, or provide links to them. Third-party products are neither controlled nor operated by AIstone Global. Third-party products are usually licensed/offered by third parties under their own terms and conditions and may require payment of license fees and/or other fees. In the absence of Third Party Terms and Conditions, Third Party Products licensed/provided by AIstone Global are subject to the terms of this Agreement. Any open source license compliance obligations associated with the use of any open source software included in third party products are the sole responsibility of the applicable third party.

5        You understand that downloading and/or using third party products may be subject to additional terms and conditions, payment of license/service fees or other fees required/charged by third parties. You acknowledge and agree that you are solely responsible for compliance with such terms and conditions and payment of fees and costs.

6        AIstone Global makes no representations or warranties regarding the safety, quality, content or any other aspect of third party products, including but not limited to their availability, use, accuracy, reliability or completeness. You understand and agree that you download and/or use any Third-Party Products at your own discretion and risk and that you will be solely responsible for any damage to your equipment or other property or loss of data resulting from the download and/or use of Third-Party Products. You should take your own precautions to ensure that the Third-Party Products you choose to use are free of viruses, worms, Trojans and other destructive content, and AIstone Global is not responsible for any damage or injury caused by or related to any Third-Party Products.

Section 8: Software Product Specifications and Related Services

1.      Software product specifications and specified operating environment information can be found in the documentation accompanying the software product (e.g., README or similarly titled file, if available), or in other documentation published by AIstone Global. Through AIstone Global software products, AIstone Global or third parties may provide services to you subject to additional terms and conditions.

2.      We strive to keep the Software Products and related services running normally, but like all online services, our services are subject to occasional outages and outages, and their availability and performance may vary depending on your location and other factors.

3.      You agree that AIstone Global may change, improve, suspend or discontinue any specification, function or feature of any Software Product or Related Service at any time without prior notice. You should have a regular backup schedule for any data stored with your software product or otherwise made available to AIstone Global, as this data may become unavailable under the circumstances described above. To the extent permitted by law, AIstone Global shall not be liable for any interruption or loss that you may suffer as a result of such interruption, outage or change, modification or termination of any Software product, service or functionality thereof.

Section 9: Marketing and Support Information

AIstone Global may send you product announcements, marketing messages, administrative messages, and technical service and support information about AIstone Global or Third-Party Products or services. You may unsubscribe and cease receiving such information at any time by following the notification requirements provided by the Software Product, or by contacting AIstone Global through the option provided on the AIstone Global website or an authorized local AIstone Global representative.

Section 10: Fees

1.      The cost of software products depends on the level of usage obtained. The use of AIstone Global or third party services may require additional fees to be paid to AIstone Global or such third parties.

2.      If you would like to upgrade your usage level, please contact the AIstone Global or Software Product Provider. Additional charges may apply.

3.      If any authority imposes taxes or other charges on the Software Products (excluding taxes and charges based on the net revenue of the AIstone Global), you agree to pay the prescribed fees or provide documentation of exemption. You are responsible for any personal property taxes on the Software Products from the date of purchase.

Section 11: Disclaimer of Warranty

1.      The Software Products and any related services are provided "as is."

2.      Except for any statutory warranties which may not be excluded, AIstone Global disclaims all warranties or representations, express or implied, with respect to the software products, services or technical support, if any, including but not limited to implied warranties or representations of merchantability, fitness for a particular purpose and non-infringement.

3.      This exclusion clause set forth in Sections 12.1 and 12.2 of the Agreement also applies to all developers and suppliers of AIstone Global.

4.      Vendors or publishers of non-AIstone Global software products may provide their own warranties. The AIstone Global does not provide technical support unless otherwise stated in writing.

Section 12: Limitation of Liability

1        You are entitled to claim damages from AIstone Global if AIstone Global defaults or is otherwise liable. In such event, regardless of the grounds on which you claim damages (including gross breach, negligence, misrepresentation or other claims in contract or tort), unless and to the extent that liability cannot be excluded or limited under applicable law, AIstone Global's liability shall not exceed the actual direct losses suffered by you and shall not exceed the amount paid by you for the Software Products and related services.

2        This restriction also applies to suppliers and distributors of AIstone Global. This is the ceiling that AIstone Global and its suppliers and resellers share.

3        In no event shall AIstone Global, its suppliers or resellers be liable for any of the following: (1) claims for damages brought against you by third parties;(2) loss of or damage to data; or (3) special, incidental, punitive or indirect damages or any consequential economic damages, including loss of profits, business income, goodwill or anticipated savings, even if advised of the possibility of such happening. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN SUCH CASE, THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

4        AIstone Global Software Products and related services are not intended for use in any nuclear, aviation, public transportation or medical application, or any other inherently hazardous application that could result in death, personal injury, catastrophic damage or mass destruction, and you agree that AIstone Global shall not be liable of any nature for the use of any such software or services.

Section 13: Rights of Consumers

Nothing in this Agreement shall affect any legal rights of consumers which cannot be waived or limited by contract. This Agreement also does not alter other consumer rights you may have under applicable local law.

Section 14: General

1        If any provision of this Agreement is invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect.

2        AIstone Global software may be subject to export control laws of the United States, the European Union, or China. You may not export, re-export, or transfer the AIstone Global Software to an end-user at any destination subject to a comprehensive embargo imposed by the United States Office of Foreign Assets Control without appropriate government authorization. You will not export, re-export, or transfer to any individual or entity on any sanctions list, including but not limited to OFAC's Specially Designated Nationals list, the U.S. Bureau of Industry and Security's Entity List, the Military End Use/User List, the Denied Party List, or any other sanctions list, without obtaining the applicable approvals and authorizations from all relevant government authorities. You agree to comply with all applicable import and export laws and regulations, including those of the United States.

3        Neither you nor AIstone Global may bring a lawsuit under this Agreement more than three years after the cause of action arose, except as otherwise provided by law which may not be excluded or limited by agreement.

4        You agree that AIstone Global may modify this Agreement at any time without any liability to you. Such modifications may be necessary, for example, to provide additional functionality or services through the software product or as required by law. The amended Agreement will take effect immediately upon your acceptance or, in the event that you do not accept, fifteen (15) days after notice is sent to you via the Software Product or otherwise. But the changes required by law and regulation will take effect immediately after the AIstone Global is released. If you do not agree with the revised terms, you should stop using the software product.

5        The title is "6.7. The provisions in the Open Source and Other Third Party Software Components and Products, Privacy, Marketing and Support Information, Disclaimer of Warranty, Limitation of Liability, Consumer Rights, General Matters, and Dispute Resolution sections survive expiration or termination of this Agreement.

Section 15: Dispute Resolution

The laws of People's Republic of China shall govern the formation, validity, interpretation, performance, signing, modification and termination of this Agreement and the settlement of disputes.

Any dispute arising out of or in connection with this Agreement shall be settled amicably through negotiation between the parties hereto. If negotiation fails, the case shall be submitted to Beijing City Haidian District People's Court for litigation.

3        LICENSE RIGHTS: Any person who obtains a copy of the Software and associated documentation (the "Software") is hereby granted the unrestricted right to process the Software, including, without limitation, the right to use, copy, modify, merge, publish, distribute, sublicense and/or sell copies of the Software.

4        Additional conditions: The above copyright notice and this license notice shall be included in all copies or substantial portions of the Software.

5        DISCLAIMER: THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Under no circumstances shall the author or copyright holder be liable for any claim, damage or other liability (whether based on contract, tort or other legal theory) arising out of the Software or use of the Software or other actions in connection with the Software.

Please read and understand this Privacy Policy carefully before using our products or services.

Section 1: How we collect and use your personal information

Personal information refers to all kinds of information recorded in electronic or other ways that can identify a specific natural person or reflect the activities of a specific natural person alone or in combination with other information. We collect and use your personal information only for the purposes described in this Policy.

1      Register as a AIstone Global user

To complete the account creation, you may need to provide the following information to AIstone Global: your mobile phone number, email address, username and password created. During the registration process or after the account is created, if you provide the following additional information, it will help us to provide you with a better service and experience: your name, date of birth, gender, location, industry. If you do not provide this information, it will not affect the basic functions of using the products and services of the AIstone Global.

2      Purchase and delivery of products or services

If you purchase AIstone Global products or services from us, in order to successfully complete the transaction, you need to provide the following information: your name, telephone number, e-mail address, mailing address, ID card number, bank card number and other identification, payment and receipt information required to generate the order. If you do not provide this information, you cannot purchase the products and services of the AIstone Global.

3      Products or services that use the AIstone Global

In the process of using AIstone Global products or services, in order to ensure the normal realization of the corresponding functions of AIstone Global products and services, you may need to provide us with the following information: geographical environment and location information of your equipment, configuration information of the equipment, shared text or pictures, etc.

4      Develop data analytics and research to improve our products or services

We invite you to join the AIstone Global product improvement program to help us design new products, services, or improve our existing products and services. If you consent, we may collect the following information from you for analysis and research of products or services: your account information, device information, diagnostic and usage data. If you choose not to participate in the product improvement program, it will not affect your use of the AIstone Global products or services.

5      Safeguard the interests of the state, the public, you and others

You are fully aware that we have the right to assist judicial authorities in collecting and using your personal information without obtaining your consent in the following circumstances:

1.          Those related to national security and national defense;

2.          Public safety, public health and vital public interests;

3.          (b) relating to criminal investigation, prosecution, trial and execution of sentences;

4.          For the purpose of safeguarding the life, property and other important legitimate rights and interests of the subject of personal information or other individuals, but it is difficult to obtain their consent;

5.          The collected personal information is disclosed to the public by the subject of personal information;

6.          Your personal information collected from legally disclosed information, such as legal news reports, government information disclosure channels;

7.          necessary to conclude a contract at your request;

8.          necessary for maintaining the safe and stable operation of the products and/or services provided, such as detecting and handling faults in the products and/or services;

9.          necessary for legitimate journalism;

10.      When academic research institutions are necessary for statistical or academic research based on public interest and provide the results of academic research or description to the outside world, de-identify the personal information contained in the results;

11.      in connection with our fulfilment of obligations under laws and regulations;

12.      Other circumstances stipulated by laws and regulations.

Your personal information may contain sensitive personal information, such as your race, religious belief, personal health status, gender orientation, etc. When you use our products or services, you may upload or publish such sensitive information in public channels. Please handle this personal sensitive information carefully.

The information you provide above will continue to authorize us to use it during your use of AIstone Global products and services. When you log out of your account, we will stop using and delete the above information. If laws and regulations require otherwise regarding the retention time of information, we will comply with the provisions of laws and regulations.

The above information will be stored within the territory of the People's Republic of China. If cross-border transmission is required, we will conduct safety assessment in accordance with the requirements of laws and regulations.

We will ask for your consent in advance when we want to use information for other purposes not stated in this policy.

When we want to use information collected for a specific purpose for other purposes, we will ask for your consent in advance.

Section 2: How we share your personal information

1      Share

We do not share your personal information with any companies, organizations and individuals outside of AIstone Global, except in the following circumstances:

1.    Sharing with explicit consent: We share your personal information with others after obtaining your explicit consent.

2.    We may share your personal information as required by laws and regulations or as mandated by government authorities.

3.    Sharing with our affiliates: Your personal information may be shared with our affiliates. We will only share personal information that is necessary and subject to the purposes stated in this Privacy Policy. If the affiliate wants to change the purpose of processing personal information, it will ask for your authorization again.

4.    Sharing with Authorized Partners: Some of our services will be provided by authorized partners only for the purposes stated in this policy. We may share certain of your personal information with partners to provide better customer service and user experience. For example, when you purchase one of our products online, we must share your personal information with a logistics service provider to arrange delivery or arrange for a partner to provide services. We will only share your personal information for legitimate, legitimate, necessary, specific, explicit purposes and only to the extent necessary to provide the Services. Our partners are not authorized to use the shared personal information for any other purpose.

Currently, authorized partners of AIstone Global include our suppliers, service providers and other partners. We send information to suppliers, service providers and other partners who support our business globally, including providing technology Infrastructure services, providing transactional and communication services (such as payments, logistics, SMS, mail services, etc.), analyzing how our services are used, measuring the effectiveness of advertising and services, providing customer service, facilitating payments, or conducting academic research and surveys.

We sign strict confidentiality agreements with companies, organizations and individuals with whom we share personal information, requiring them to treat personal information in accordance with our instructions, this Privacy Policy and any other relevant confidentiality and security measures.

2      Transfer

We will not transfer your personal information to any company, organization or individual, except in the following circumstances:

1.    Transfer with explicit consent: We transfer your personal information to other parties after obtaining your explicit consent;

2.    In case of merger, acquisition or bankruptcy liquidation, if personal information transfer is involved, we will ask the new company or organization holding your personal information to continue to be bound by this privacy policy, otherwise we will ask the company or organization to re-ask for your authorization consent.

3      Announce

We will only disclose your personal information if:

1.    after obtaining your express consent;

2.    Disclosure based on law: We may disclose your personal information when required to do so by law, legal process, litigation, or mandatory government authorities.

Section 3: How we protect your personal information

(1) We have adopted industry-standard security measures to protect your personal information from unauthorized access, disclosure, use, modification, damage or loss. We will take all reasonable and practicable measures to protect your personal information. For example, data exchanged between your browser and the Services (such as credit card information) is protected by SSL encryption; we also provide https secure browsing for websites such as the AIstone Global website; we use encryption technology to ensure the confidentiality of data; and we use trusted protection mechanisms to protect data from malicious attacks.

(2) We will take all reasonable and practicable measures to ensure that irrelevant personal information is not collected. We will retain your personal information only for as long as necessary to achieve the purposes described in this policy, unless an extended retention period is required or permitted by law.

(3) The Internet is not an absolutely secure environment, and e-mail, instant messaging, and communication with other users of the AIstone Global are not encrypted. We strongly recommend that you do not send personal information through such means. Please use a complex password to help us keep your account secure.

(4) The Internet environment is not 100% secure and we will do our best to ensure or warrant the security of any information you send us.

(5) After the unfortunate occurrence of personal information security incidents, we will inform you in a timely manner in accordance with the requirements of laws and regulations: we will take reasonable and effective ways to publish announcements. At the same time, we will actively report the handling of personal information security incidents in accordance with the requirements of regulatory authorities.

Section 4: Your rights

In accordance with the relevant laws, regulations and standards of China, as well as the common practices of other countries and regions, we guarantee that you exercise the following rights with respect to your personal information:

1      Access your personal information

You have the right to access your personal information in accordance with the laws and regulations. If you wish to exercise your data access rights, you can do so yourself by:

Account Information-If you wish to access or edit your profile information and payment information in your account, change your password, add security information or close your account, you can do so by visiting the profile, password change, etc. pages on our website or app. However, due to security and identification considerations or as mandated by law or regulation, you may not be able to modify the initial registration information provided at the time of registration.
